Terms and Conditions of Sale of Goods

These Terms and Conditions of Sale ("Agreement") govern the sale of goods by Roselyn Seeds ("Seller") to the buyer ("Buyer"). By placing an order with Roselyn Seeds, the Buyer agrees to be bound by these terms and conditions.

1. Definitions
Seller: Refers to Roselyn Seeds, the entity providing goods to the Buyer under this Agreement.
Buyer: Refers to the individual or entity purchasing goods from the Seller.
Goods: Refers to the seeds, plants, and related products sold by Roselyn Seeds to the Buyer.
Order: The request made by the Buyer to purchase Goods from the Seller.

2. Formation of Contract
The contract for the sale of Goods will be formed when Roselyn Seeds accepts the Buyer’s order, either by confirming the order in writing or by shipping the Goods.
The Buyer’s order is an offer to purchase Goods under these terms and conditions, and Roselyn Seeds' acceptance is expressly limited to these terms.

3. Price and Payment
Price: The price of the Goods will be as stated in the Seller’s invoice or as agreed upon by both parties at the time of the order.
Payment Terms: Payment for Goods must be made in full at the time of ordering, unless agreed upon otherwise in writing by the Seller.
Currency: All prices and payments shall be in GBP, as specified by the Seller.
Late Payment: In case of late payment, the Buyer may incur late fees, and Roselyn Seeds reserves the right to withhold future deliveries until payment is received.

4. Delivery
Delivery Method: Goods will be delivered according to the shipping method selected by the Buyer at the time of purchase or as agreed upon by both parties.
Delivery Time: While the Seller will make reasonable efforts to ensure timely delivery, the delivery dates are approximate and not guaranteed. The Seller shall not be held liable for any delays in delivery.
Risk of Loss: The risk of loss or damage to Goods passes to the Buyer upon delivery to the Buyer’s designated address or the shipping carrier.
Delivery Costs: Delivery costs will be borne by the Buyer unless stated otherwise.

5. Inspection and Acceptance
Upon receiving the Goods, the Buyer must inspect them for defects, damages, or discrepancies.
If the Goods are defective, damaged, or not as described, the Buyer must notify the Seller in writing within 2 days of delivery.
If no notification is received within the prescribed period, the Goods will be deemed accepted by the Buyer.

6. Returns and Refunds
Return Policy: Returns are accepted in accordance with the Seller’s return policy, which may be found on the Seller’s website or provided upon request.
Conditions for Returns: Goods must be returned in their original, unused condition to qualify for a return or refund.
Refund Processing: Approved refunds will be processed within a reasonable time after the return of the Goods. Shipping costs for returns may be the responsibility of the Buyer, unless the Goods are defective or incorrect.

7. Warranties
Limited Warranty: Roselyn Seeds warrants that the Goods will conform to the specifications provided at the time of sale and will be free from defects in materials and workmanship.
Exclusions: This warranty does not apply to Goods that have been improperly handled, stored, or used by the Buyer.
No Other Warranties: The Seller makes no other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability
The Seller's liability for any claims arising out of this Agreement shall be limited to the amount paid by the Buyer for the Goods that are the subject of the claim.
The Seller shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of business, or damage to reputation, arising out of or in connection with the sale of Goods.

9. Force Majeure
Neither party shall be held liable for failure or delay in the performance of any obligations under this Agreement caused by circumstances beyond their control, including but not limited to acts of nature, government actions, strikes, or supply chain disruptions.

10. Indemnification
The Buyer agrees to indemnify, defend, and hold harmless Roselyn Seeds and its affiliates, officers, and employees from and against any claims, damages, losses, or expenses (including attorney’s fees) arising out of or in connection with the Buyer’s use, handling, or resale of the Goods.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England.
Any disputes arising from or relating to this Agreement shall be resolved in the courts of England, to the exclusion of any other courts.
Any reference in these Conditions to any statute, law, statutory instrument, enactment, order, regulation or other similar instrument having the force of law shall be considered to include any lawful amendment, re-enactment, extension, replacement, modification, consolidation and/or repeal of it.
These Conditions do not affect Your statutory rights.

12. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the sale of Goods and supersedes any prior agreements or communications, written or oral, relating to the subject matter of this Agreement. Any amendments must be made in writing and signed by both parties.

13. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.

14. Assignment
The Buyer may not assign or transfer any of its rights or obligations under this Agreement without the prior written consent of Roselyn Seeds.

15. Intellectual Property
All intellectual property rights related to the Goods, including any trademarks, patents, and copyrights, remain the property of Roselyn Seeds or its licensors.

16. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of this Agreement and not to disclose such information to third parties without the prior written consent of the other party.

17. Intended Use
The Buyer agrees to use the Goods solely for their intended purpose, as described by the Seller or as generally understood in the industry. The Goods are not intended for human or animal consumption and must not be used for food or other consumption-related purposes unless explicitly stated otherwise by the Seller. The Goods are intended solely for planting, cultivation, or other non-consumable uses. The Buyer further agrees that the Goods are not for resale unless explicitly agreed upon in writing by the Seller. Any use of the Goods outside of their intended purpose, including resale, may void any warranties and limit the Seller's liability.

By placing an order with Roselyn Seeds, the Buyer acknowledges that they have read, understood, and agree to these Terms and Conditions of Sale.
